Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FINSIMUL website and the FINSIMUL platform (together, the "Services"). By accessing the Services you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you confirm you have authority to bind that organisation.
1. The Services
FINSIMUL ingests cloud and SaaS cost and usage data that a customer connects, normalises and analyses it, and produces cost-intelligence reports and recommendations. Specific features, tiers and limits are described on our Services page and in the applicable order or subscription.
2. Accounts and access
Access to the customer portal requires authentication via Google sign-in and authorisation by your organisation's administrator. You are responsible for maintaining the confidentiality of access to your account and for activity that occurs under it.
3. Acceptable use
You agree not to: (a) use the Services unlawfully or in breach of third-party rights; (b) attempt to gain unauthorised access to the Services or other customers' data; (c) probe, scan or test the vulnerability of the Services without authorisation; (d) interfere with or disrupt the integrity or performance of the Services; or (e) reverse engineer or resell the Services except as permitted by law. 4. Customer data
You retain all rights in the data you connect. We process customer data only to provide the Services and as described in our Privacy Policy and Data Processing Addendum. We access customer cloud accounts on a read-only basis.
5. Fees
Fees, billing frequency and any trial terms are set out in the applicable order or subscription. Pricing is based on monitored cloud spend volume as described on the Services page.
6. Intellectual property
FINSIMUL and its licensors retain all rights in the Services, including the software, models, report templates and branding. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription.
7. Service availability
We aim to provide a reliable service and, for applicable tiers, may offer service-level commitments in your order. Except where expressly stated, the Services are provided on an "as available" basis.
8. Disclaimers and limitation of liability
The Services provide analysis and recommendations to support your decisions; they do not constitute financial, legal or professional advice, and you remain responsible for decisions you make. To the maximum extent permitted by law, our aggregate liability and the exclusions of certain damages will be as set out in the finalised Terms. 9. Termination
Either party may terminate as set out in the applicable order. On termination, your right to access the Services ends and customer data is handled per the DPA.
10. Governing law
These Terms are governed by the laws of [jurisdiction — to be confirmed], and the courts of that jurisdiction have exclusive jurisdiction, subject to any mandatory consumer protections.
